Why Strategy's reversal was visible before it sold a single Bitcoin

We've tracked this one since June - Strategy's own paper quietly overriding Saylor's conviction in bitcoin.

The open question the whole way: would he actually sell BTC once the premium was gone? Now we've got the answer. He sold. Twice. On the dividend calendar.

Structure beat conviction. But the real story isn't the sale - it's that the reversal was readable in advance, in the language of the people running it, not in the tape.


🟢 The flywheel we flagged just ran into reverse

On June 27, mNAV slipped below 1 for the first time - to 0.99, MSTR near $82 (-85% off its Nov 2024 peak). Below 1, printing fresh stock no longer stacks bitcoin-per-share - it dilutes it.

The machine that bid BTC up now runs backwards. The one calling the shots is STRC: ~$10.5B notional, a 12% coupon, paid twice a month - roughly $1.2B a year in obligations that have to be met in cash.

So the selling started:
⏺️ Late May: 32 BTC - first sale since 2022
⏺️ July: 3,588 BTC for $216M - the largest in company history
⏺️ Aug 3: another 1,638 BTC for ~$104.7M (at $63,957)

842,138 BTC left on the books. Not a one-off - a pattern on a calendar trigger: the sells track dividend dates, not the price of bitcoin.

🟢 The reversal was readable in the language - ahead of the price

Back in December, CEO Phong Le spelled out the condition: if mNAV fell below 1 and other capital dried up, the company would sell BTC. The condition hit - and the wording started to slide.

Over three days the promise walked itself back in three steps:
→ Jul 31: "bought 48x more $BTC than we sold" - pivot to the ratio → Aug 1: "we've never had a 'never sell' policy" - rewriting the past → Aug 3: "I'm talking about my personal coins" - narrowing the promise after the fact.

The sale itself landed between Aug 1 and 3. The language hedged before the fact hit the tape.

Then Saylor drew the line himself:

"When I say 'Never Sell Your Bitcoin,' I speak as one saver to another. I have never sold mine. Not one satoshi. Strategy is a public company, not my wallet."


🟢 The real risk isn't the dump - it's the re-rating

The threat was never the size of the sells - 1,638 BTC is a rounding error against the stack, and Strategy was the single biggest structural BUYER of BTC for years. What actually bites: the permanent bid just flipped to an offer. And one in three copycat treasuries already trade below NAV (Metaplanet and Nakamoto around 0.9).

The multiple ran on faith in the model - the model cracked, and now the whole copycat playbook gets re-rated, not just Saylor's stack.

✨ The lesson isn't about Strategy - it's about reading any leader under pressure: the language bends before the price turns. Catch the shift in wording and you see the reversal before it ever hits the tape.

Open question - can mNAV climb back above 1. Until STRC trades back to par, Strategy is buying time, not bitcoin.
